Tutor Platform & Service Agreement

This agreement is between Tutor on Wheels, represented by Abegail Castillo, LPT ("TOW"), and each independent tutor accepted onto the platform. It protects TOW, the tutor, parents, and students while giving tutors clear benefits: paid trial sessions, centralized collections, documented payouts, student referrals, support, and fair booking information. Tutors accept this agreement during the application process.
1. Independent Contractor Relationship
The Tutor provides services as an independent contractor and not as an employee, partner, franchisee, or agent of Tutor on Wheels ("TOW"). The Tutor controls teaching methods subject to the student plan, professional standards, platform policies, and agreed schedule. Nothing in this Agreement guarantees a minimum number of students, bookings, or income.
2. Tutor Qualifications and Verification
The Tutor must provide true, complete, and current information and documents requested by TOW, which may include identification, educational credentials, licenses, references, clearances, sample lessons, and other verification materials. The Tutor must promptly report expired, suspended, falsified, or materially changed credentials. TOW may approve, reject, suspend, or remove a profile based on safety, quality, document, conduct, or business concerns.
3. Booking Offers and Acceptance
Each booking offer will state the student level, subject, mode, general location or online platform, schedule, session length, tutor payout, travel allowance if any, reporting requirements, and special instructions. The Tutor may accept or decline before the stated deadline. Once accepted, the Tutor must honor the booking unless a valid emergency or approved change occurs.
4. Fees and Tutor Payouts
The Tutor will receive the payout shown and accepted for each booking. TOW may charge the parent a different all-inclusive price that includes platform services, support, processing, matching, quality assurance, and business costs. The Tutor has no claim to the parent-facing gross price beyond the accepted payout. Trials are paid unless the booking offer expressly states otherwise and the Tutor accepts that term. Payout timing, method, deductions, and status will be recorded by TOW. TOW may temporarily hold only genuinely disputed or unverified session amounts while investigating.
5. Centralized Payments
The Tutor must not collect tuition, booking fees, transport fees, deposits, renewal payments, or any other payment directly from a TOW parent or student unless TOW gives written authorization for a specific transaction. All payment concerns must be referred to TOW.
6. Attendance and Session Reports
The Tutor must arrive or log in on time, provide the agreed session duration, record attendance, and submit a concise session report within the required period. The report may include topics covered, student participation, homework, recommendations, and relevant concerns. Deliberately false attendance or reports are grounds for immediate suspension or termination.
7. Cancellations and Substitutions
The Tutor must give as much notice as possible and ordinarily at least 24 hours for non-emergency cancellations. The Tutor may not send a substitute without TOW approval. When the Tutor cancels, TOW may arrange a replacement, credit, reschedule, or refund for the parent. Repeated lateness, cancellations, or no-shows may affect future referrals or lead to termination.
8. Professional and Child-Safety Standards
The Tutor must maintain respectful, age-appropriate, non-discriminatory, and professional conduct; avoid corporal punishment, humiliation, harassment, romantic or sexual conduct, exploitation, unsafe transportation, unauthorized gifts or loans, and private meetings outside the approved tutoring purpose. Face-to-face sessions should occur in the approved location with appropriate adult awareness and reasonable safety measures. Any suspected abuse, immediate danger, or serious misconduct must be reported to TOW promptly and to appropriate authorities when required by law.
9. Confidentiality and Data Privacy
The Tutor may access parent and student information only to perform approved tutoring services. The Tutor must protect names, contact details, school information, learning records, photos, videos, addresses, schedules, payment details, and other personal data; must not copy, disclose, publish, or reuse them except as authorized; and must return or securely delete them when no longer needed. Any loss, unauthorized access, mistaken disclosure, or security incident must be reported to TOW immediately.
10. Photos, Recordings, Materials, and Public Posts
The Tutor must not photograph, record, livestream, post, or use a student's name, work, face, voice, location, or testimonial without documented authorization from TOW and the parent or guardian. TOW materials, forms, templates, branding, client lists, pricing rules, and internal procedures remain confidential and may not be copied for a competing service. The Tutor retains ownership of original pre-existing teaching materials but grants TOW permission to store and use materials submitted specifically for the booked student and operational records.
11. Non-Circumvention and Non-Solicitation
During this Agreement and for twelve (12) months after the Tutor's last TOW-booked session with a parent or student introduced by TOW, the Tutor must not directly or indirectly solicit, accept, arrange, renew, or receive payment for tutoring or related educational services from that parent, student, household, referral, or closely connected client outside TOW without TOW's prior written consent. The Tutor must refer direct approaches back to TOW. This clause should be interpreted only to the extent reasonable and enforceable under applicable law and does not prevent the Tutor from serving independently obtained clients who were not introduced through TOW.
12. Reviews, Quality Assurance, and Complaints
TOW may review reports, attendance, parent feedback, teaching quality, communication, and policy compliance. The Tutor will cooperate with reasonable complaint investigations. TOW will seek a fair process and may provide coaching, warnings, booking restrictions, temporary suspension, replacement, or termination depending on seriousness and evidence.
13. Taxes and Legal Compliance
The Tutor is responsible for personal tax registration, filings, contributions, permits, and obligations applicable to independent earnings, unless the law requires TOW to withhold or report amounts. The Tutor must comply with applicable laws, professional standards, and platform policies.
14. Term and Termination
This Agreement continues until ended by either party. Either party may terminate by written notice, but accepted bookings and outstanding obligations must be properly completed or resolved. TOW may immediately suspend or terminate for fraud, falsified credentials, child-safety risk, direct collection, bypassing the platform, serious misconduct, confidentiality breach, repeated no-shows, or material policy violation.
15. Dispute Resolution and Governing Law
The parties will first attempt good-faith resolution through TOW's documented complaint process. If unresolved, they may use mediation or other lawful remedies. This Agreement is governed by the laws of the Republic of the Philippines. Venue and jurisdiction provisions should be finalized by Philippine legal counsel based on TOW's registered business address.
16. Entire Agreement and Updates
This Agreement, accepted booking terms, and referenced policies form the parties' understanding. Changes must be documented in writing or through a versioned platform acceptance process. If any provision is invalid, the remaining provisions continue to apply. Electronic signatures and electronic acceptance may be used to the extent permitted by law.
Tutor Acknowledgment
By applying to and tutoring on Tutor on Wheels, the Tutor confirms that they have read and understood this Agreement, had the opportunity to ask questions, received or can access the applicable policies, and voluntarily agrees to comply.
